AyByay is a point-of-sale, stock and credit-ledger app for small shops in Bangladesh. This page is the agreement between us and the shop using it — what we provide, what we ask of you, what it costs, and what happens when something goes wrong. Written to be read, not to be survived.

The whole agreement in one line: we give you the software to run your shop, you use it lawfully and pay for the plan you are on, and your business and its records stay yours — to export, to correct, or to delete, whenever you want.
By creating a shop on AyByay, or by using it as staff of a shop that has, you accept these terms. If you do not accept them, do not use the service. How we handle data is set out separately, and in more detail, in the Privacy Policy, which forms part of this agreement.
AyByay is a set of online tools for a retail business in Bangladesh: selling at the counter with barcode or camera scan, printed and digital receipts, stock and purchases, the credit ledger every shop here calls baki, a customer list with rewards, suppliers, expenses, reports, staff accounts, consent-based SMS offers, and an optional public page for the shop. It runs in a browser, on Android, and offline when the internet drops, syncing when it returns.
We supply the tools. What you sell, at what price, to whom you extend credit, and whether you collect it — those are your decisions and your risk. AyByay is not a party to any sale you make and gives no accounting, tax or legal advice.
Where the app helps you take payment from your own customer — a bKash QR on a receipt, or an online payment link for an invoice — that money moves through your own payment account, wired to your shop by you. We do not hold your customers' money and we do not sit in the middle of it. The only money that moves between us and you is your own subscription, covered in section 3.
AyByay is business software for adults running a business. You must be old enough under Bangladeshi law to enter into a contract and to trade. It is not built for children and is not directed at them.
The shop owner creates staff accounts, sets each one's role and what it can see, and removes it when that person leaves. That control comes with the matching responsibility: the shop is answerable for what its staff do in the app — entries made, discounts given, records changed or deleted — exactly as if the owner had done it.
Give every staff member their own login rather than sharing one. It is the only way the ledger can honestly tell you who entered what, and it is the first thing that matters when a number looks wrong. Removing a staff account when someone leaves is the owner's job, not ours.
Every new shop gets 14 days of the full product, with no card taken and nothing to cancel. Nothing on this page charges you by surprise.

Plans also carry monthly allowances for things that cost us money to provide — SMS messages and AI photo assists among them. The app shows you where you stand against a limit before you reach it, and reaching one never deletes anything: it asks you to upgrade or to buy a top-up. We may adjust an allowance for a plan, and where that reduces something you rely on we will tell you before it takes effect.
We never delete a shop's data for non-payment. If a paid subscription is not renewed by the end of the billing period, the shop is limited, never erased, in two stages:
Pay at any point and full use of your plan resumes immediately. You can export everything you have entered, at any time, in either state — including while the shop is read-only.
We do not refund a plan part-way through a paid period, and we would rather say that outright than bury it. A plan is bought for a whole billing period; cancel and you keep full use until that period ends, then move to the Free plan. The Free plan and the 14-day trial exist precisely so you can decide before any money changes hands.
Four things we always put right, in full:
Write to [email protected] with the transaction reference (the bKash, Nagad or SSLCommerz ID). We aim to reply within two working days, and we return the money by the route you paid on.
Prices can change as the product does. If we change what an existing paying shop is charged, we will tell you before it applies to you, so you can decide whether to stay on the plan.
Everything your shop enters — products and prices, sales, purchases, stock, the credit ledger, customers, suppliers, expenses, settings — belongs to your shop. Our rights over it go exactly as far as running the service for you and no further. We do not sell it, we do not rent it, and we do not use it to train an artificial-intelligence model.
When you collect a customer's details — through a QR form, or by bringing contacts in from your phone — you are the one who owes that person a duty. Use their details only for what they agreed to, honour a request to be corrected or removed, and do not send marketing to anyone who did not ask for it. AyByay gives you the tools to do all three; the obligation is yours, and you are responsible for having the right to hold whatever you put into the app.
What we collect, why, who can see it, how long we keep it and how you get rid of it are all set out in the Privacy Policy. It is part of this agreement, and where it is more specific than this page, it governs.
Export before you delete. Closing a shop removes that shop's own books, restore points expire within about 30 days, and after that neither we nor anyone else can bring them back.
You are also responsible for your own obligations to the state — VAT, NBR filings, trade licences, employment. The app can produce records that help, but the reports it prints are a tool, not certified accounts, and the responsibility stays with you.
We may also stop offering the service, or a part of it. If we ever do, we will give reasonable notice and time to export, rather than switching it off one morning.
We work to keep AyByay running all the time, but we do not promise uninterrupted or error-free service and we do not offer an uptime guarantee. Maintenance, a fault at our cloud provider, or your own connectivity can all interrupt it. Planned maintenance is announced in advance where we can and scheduled for quiet hours.
The app is built to keep selling when the internet is not there and to sync when it comes back, which covers the most common interruption a shop in Bangladesh actually meets. It is not a promise that nothing will ever go wrong.
Features change as the product develops. We add, improve and sometimes remove things. Where a change removes something a paid plan was built around, we will tell you before it happens.
Take a regular export of anything you cannot afford to lose. That advice is not us dodging responsibility — it is what we would tell a friend running a shop, about any software at all.
The service is provided as is. We build and run it with care, and we make no warranty beyond that — in particular no warranty that it will be uninterrupted, free of errors, or fit for any purpose you have in mind but have not agreed with us.
If something does go wrong and you have a claim against us, our total liability is limited to the subscription fees you have actually paid us. We are not liable for lost profits, lost sales, lost goodwill, or any indirect or consequential loss.
None of this limits liability that cannot be excluded under the law of Bangladesh. Nothing here is an attempt to escape a responsibility the law says we must carry.
You are responsible for the accuracy of what you enter and for the business decisions you take on the back of it. A report is only as good as the entries behind it.
These terms will be updated as the product grows. Anything significant is announced inside the app, and the date at the top of this page always shows when it last changed. Carrying on using AyByay after a change means you accept the new terms.
If you do not accept a change, the way out is open and unchanged: export your data and close the account. We will not quietly rewrite what you agreed to and leave you to notice.
This agreement is governed by the laws of Bangladesh, and the courts of Bangladesh have jurisdiction over any dispute arising from it.
Before it gets that far, please write to us. Almost everything that has ever gone wrong here has been settled by one person explaining the problem to another, and we would like to keep it that way.
If any part of these terms turns out to be unenforceable, the rest of it still stands. Not enforcing something once does not mean we have given it up.
